2. Eligibility and Scope

Our services are intended solely for businesses and not for individual or consumer use. By using the Platform, you confirm that you are acting on behalf of a company or other legal entity and are authorized to do so.

3. Account Registration and Security

To access the Platform, you must register and maintain an active account. You are responsible for maintaining the confidentiality of your login credentials and any activity that occurs under your account. You agree to notify us immediately of any unauthorized access or use.

4. Service Tiers and Payment Terms

4.1 Pay-Per-Use

You will be billed monthly based on the number of successful process executions. Pricing details are available on your customer dashboard or your specific service agreement.

4.2 Payment

All payments are due monthly via credit card. You authorize Impetu to charge your card for all usage-based fees. Failure to process payment may result in account suspension or termination.

4.3 Taxes

All fees are exclusive of applicable taxes, duties, or charges imposed by governing authorities.

5. Data Handling and Privacy

5.1 Data Processing

Impetu processes customer data in compliance with the General Data Protection Regulation (GDPR). As a data processor, we process customer data only on documented instructions of the customer.

5.2 Data Storage

Customer data is stored securely with a cloud provider. Execution environments are isolated at the virtual machine level to ensure confidentiality and security.

5.3 Credentials and Integrations

Customers may provide credentials to access third-party tools. Impetu stores these securely and only for the purpose of process automation execution.

5.4 Confidentiality and Use

Customer data and workflows are not used to train models for other customers or shared across customers. Each automation deployment is custom to the client's blueprint.

6. Acceptable Use

You agree not to:

  • Reverse-engineer, resell, or sub-license the Platform;
  • Interfere with the integrity, security, or performance of the Platform;
  • Use the Platform to process unlawful or infringing content.

7. Intellectual Property

All intellectual property rights in the Platform remain the sole property of Impetu or its licensors. You retain ownership of your workflows, data, and process blueprints.

8. Termination

8.1 By You

You may terminate your use of the Platform at any time via your dashboard or by notifying us in writing. Upon termination:

  • All pending invoices will be charged immediately.
  • All customer data will be deleted, except data retained for legal or audit purposes.

8.2 By Us

We may suspend or terminate your access if you breach these Terms or use the service in a way that may harm us or others.

9. Service Availability

We aim to ensure high service availability but do not guarantee uninterrupted access. We may conduct maintenance or implement updates that may temporarily affect access.

A custom SLA may be defined in a separate service agreement if applicable.

10. Limitation of Liability

To the maximum extent permitted by law:

  • Impetu shall not be liable for indirect, incidental, or consequential damages.
  • Our total liability under these Terms shall not exceed the amount you paid to us in the past 12 months.

11. Indemnification

You agree to indemnify and hold Impetu harmless against any claims, damages, or legal proceedings arising from your use of the Platform, violation of these Terms, or your data and workflows.

12. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of Spain.

Any dispute arising under or in connection with these Terms shall be resolved through binding arbitration in Spain, in accordance with the rules of the Madrid Court of Arbitration (or similar authority).

13. Modifications to Terms

We may update these Terms from time to time. When we do, we will update the "Effective Date" and notify you via email or through the Platform. Continued use of the Platform after changes means acceptance of the revised Terms.
